Terms of Service

The agreement between Vizvox and merchants who connect their own WhatsApp Business Account.
These Terms of Service ("Terms") govern your use of the Vizvox SaaS platform at https://vizvox.io ("Service"). By subscribing to or using the Service, you ("Merchant", "you") agree to these Terms. If you do not agree, do not use the Service.
The Service
Vizvox provides an AI-powered assistant that receives WhatsApp messages on the Merchant's own WhatsApp Business Account, transcribes voice notes, extracts intent, searches the Merchant's inventory, and generates contextual replies with images.
The Service is provided by Mahmood Nawaz, sole proprietor operating as Vizvox, based in Ismail Khel, District Bannu, Khyber Pakhtunkhwa, Pakistan ("Provider", "we", "us").
Bring-Your-Own-WABA (BYOW)
Merchant must provide and maintain their own Meta developer app, WhatsApp Business Account, phone number, and access tokens, and must configure that app's webhook to point at the Service as instructed during onboarding. Vizvox does NOT resell WhatsApp messages, does NOT mark up Meta's per-message fees, and is NOT responsible for the Merchant's Meta account status, quality rating, or compliance with Meta's Business Policies. Merchant acknowledges that a phone number registered to the WhatsApp Cloud API cannot simultaneously be used in the WhatsApp Business app unless onboarded through Meta's Coexistence feature (available in a later phase).
Merchant is solely responsible for:
- Complying with Meta's WhatsApp Business Policy, Business Messaging Policy, and Commerce Policy
- Obtaining lawful opt-in from their end customers before initiating messages
- Managing template approval processes with Meta
- Paying Meta directly for messages sent through their WABA
Merchant Account and Data
3.1 Merchant is the Data Controller for all end-customer data flowing through their WABA. Vizvox acts as a Data Processor per the Privacy Policy.
3.2 Inventory content: Merchant warrants that all listings, images, videos, and descriptions uploaded to Vizvox are either owned by Merchant or licensed with the right to use them. Merchant indemnifies Vizvox against any copyright, trademark, or content-related claim.
3.3 Prohibited content: Merchant may not use Vizvox to distribute:
- Content depicting minors in any sexual context
- Content promoting violence, terrorism, or illegal activity
- Content violating Meta's Commerce Policy (regulated goods without appropriate licensing)
- Content violating applicable laws in Merchant's country of operation or the country where end customers reside
Violation results in immediate suspension without refund.
Subscription and Billing
4.1 Billing processor: All payments are processed by Lemon Squeezy Inc. ("Lemon Squeezy") as Merchant of Record. Lemon Squeezy handles tax collection, invoicing, and payment processing under its Buyer Terms & Conditions at https://www.lemonsqueezy.com/buyer-terms. Refunds are issued through Lemon Squeezy on our authorization, as described in our Refund Policy.
4.2 Pricing: MVP launches with a single tier ("Growth") at USD $99/month with a 14-day free trial. Additional tiers (Starter $49, Business $249) will be added in Phase 2.
4.3 Trial: 14 days from account activation. No credit card charged during trial. Auto-converts to paid at trial end unless cancelled.
4.4 Renewal: Subscriptions renew monthly automatically. Cancel anytime from the dashboard; service continues until end of current billing period.
4.5 Price changes: We may change pricing with 30 days' notice to Merchants by email. Existing subscriptions remain at the prior rate for the current billing period.
4.6 Taxes: Prices are inclusive of applicable taxes as collected by Lemon Squeezy.
Acceptable Use
5.1 Merchant will not:
- Reverse engineer, decompile, or attempt to extract source code from the Service
- Use the Service to build a competing product
- Circumvent rate limits, quotas, or feature-tier restrictions
- Use the Service for automated spam, unsolicited marketing, or activities that would violate Meta's policies
- Share access credentials outside of authorized team seats
- Attempt to access data belonging to other Merchants
5.2 We reserve the right to suspend accounts violating these terms, with notice where practical.
Affiliate Program
Once it opens, Merchants may participate in the Vizvox Affiliate Program administered via Lemon Squeezy. The planned commission structure is 30% recurring for the first 12 months per referred paying customer, 60-day cookie window, USD $50 minimum payout via Wise or PayPal. Full affiliate terms will be published on this website before the program opens. We reserve the right to reject affiliates or reverse commissions for referrals identified as fraudulent, self-referral, or violating these Terms.
Intellectual Property
7.1 Vizvox retains all right, title, and interest in the Service, including software, algorithms, models, and branding.
7.2 Merchant retains all right, title, and interest in Merchant's own content (inventory, listings, brand assets, customer conversations occurring under Merchant's WABA).
7.3 Merchant grants Vizvox a limited, worldwide, non-exclusive license to process Merchant's content solely to deliver the Service.
7.4 Merchant may optionally opt in (via account settings) to allow anonymized voice-note storage for Vizvox's speech-recognition model improvement (per BLUEPRINT.md §6.2). Opt-in is revocable at any time; already-trained models will not be rolled back.
Warranties and Disclaimers
8.1 We warrant that we will provide the Service using commercially reasonable technical and organizational measures.
8.2 The Service is provided "AS IS" and "AS AVAILABLE". AI-generated responses may contain errors. Merchant is responsible for reviewing and approving AI outputs where accuracy is critical.
8.3 We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.
8.4 We disclaim all implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
8.5 Meta may change WhatsApp Cloud API terms, pricing, or availability at any time. Vizvox is not liable for such changes.
Limitation of Liability
To the maximum extent permitted by law:
9.1 In no event will Vizvox's aggregate liability to Merchant exceed the amount Merchant has paid Vizvox in the 12 months preceding the event giving rise to the claim.
9.2 Vizvox is not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption, even if advised of the possibility.
9.3 Vizvox is not liable for:
- Meta account suspensions, WhatsApp deliverability issues, or Meta policy enforcement
- Third-party service outages (Supabase, AWS, OpenAI, Lemon Squeezy, Vercel, Cloudflare)
- Merchant's failure to obtain lawful customer consent
- Content posted or delivered by Merchant
Indemnification
Merchant will defend and indemnify Vizvox against claims, damages, and costs arising from:
- Merchant's content or use of the Service
- Merchant's breach of these Terms
- Merchant's violation of Meta's policies or applicable law
- Merchant's failure to obtain lawful customer consent for messages
Termination
11.1 Merchant may terminate at any time via the dashboard.
11.2 Vizvox may terminate for cause (material breach) with 7 days' notice, or immediately for prohibited content violations.
11.3 On termination, Merchant data is retained per the Privacy Policy retention schedule and then deleted.
11.4 Sections that by their nature should survive termination (IP, indemnification, limitation of liability, dispute resolution) will survive.
Governing Law and Dispute Resolution
12.1 These Terms are governed by the laws of the Islamic Republic of Pakistan.
12.2 Any dispute arising under these Terms will be resolved by binding arbitration in Islamabad, Pakistan, under the Arbitration Act 1940 (Pakistan), with a single arbitrator agreed by the parties, or if not agreed, appointed by the Islamabad Chamber of Commerce and Industry.
12.3 Notwithstanding 12.2, either party may seek injunctive relief in the courts of Islamabad to protect intellectual property or confidential information.
12.4 For Merchants operating in the UAE, disputes involving UAE PDPL compliance may additionally be addressed through the UAE Data Office; UAE Merchants may elect DIFC jurisdiction for arbitration by mutual written agreement.
Changes to Terms
We may update these Terms from time to time. Material changes will be notified to Merchants by email at least 14 days before taking effect. Continued use after the effective date constitutes acceptance.
